By engaging with services offered by Trees of Integrity, you agree to the following terms and conditions.

Nature of Services

Trees of Integrity provides systems consulting, low-code development, workflow and process design, documentation, and operational support for service-based businesses. Services may be delivered on a project basis or through an ongoing retainer, as outlined in individual proposals or agreements. These services are advisory and implementation-based in nature and do not constitute legal, financial, medical, or mental health advice.

Project-Based Engagements

For project-based work, the scope of services, deliverables, timelines, and fees are defined in advance and documented in a written agreement. Work begins once the agreement is accepted and any required payment or deposit is received. Changes to scope may require a revised agreement and additional fees.

Retainer-Based Engagements

For retainer engagements, services are provided on an ongoing basis for a defined period of time. The scope, availability, billing cycle, notice requirements, and termination terms are outlined in the applicable retainer agreement. Retainers are intended to support ongoing system maintenance, optimization, and operational support rather than one-time deliverables.

Client Responsibilities

Clients are responsible for providing timely information, access to systems, and necessary approvals to support the work. Trees of Integrity is not responsible for delays or outcomes resulting from incomplete information, lack of access, or decisions made outside the scope of the engagement.

Payment Terms

Payment terms, including fees, billing schedules, deposits, and notice or cancellation requirements, are specified in individual agreements. Services may be paused or discontinued if payment is not received in accordance with agreed terms.

Intellectual Property

Unless otherwise stated in writing, all custom systems, documentation, workflows, and deliverables created specifically for the client as part of a paid engagement become the property of the client upon full payment.

Trees of Integrity retains ownership of any pre-existing materials, frameworks, templates, methodologies, or tools used or adapted in the course of providing services. Trees of Integrity reserves the right to reuse general knowledge, experience, and non-client-specific elements for future work, provided no confidential or proprietary client information is disclosed.

Confidentiality

Trees of Integrity agrees to treat all client information, materials, and access credentials as confidential and to use such information solely for the purpose of delivering agreed-upon services. Confidential information will not be disclosed to third parties without client consent, except as required by law.

Clients acknowledge that Trees of Integrity may reference generalized, non-identifying aspects of work performed for portfolio or marketing purposes unless otherwise agreed in writing.

No Guarantees

Trees of Integrity makes no guarantees regarding business outcomes, revenue, performance, compliance status, or growth. Systems and processes are designed to support clarity, efficiency, and sustainability, but results depend on factors beyond the consultant’s control.

Limitation of Liability

To the fullest extent permitted by United States law, Trees of Integrity shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use of services, systems, or recommendations provided, even if advised of the possibility of such damages.

Force Majeure

Trees of Integrity shall not be held responsible for delays or failure to perform services due to events beyond reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, labor disputes, power or internet outages, or other unforeseen circumstances. In such cases, services will be resumed as reasonably practicable.

Termination

Either party may terminate an engagement in accordance with the terms outlined in the applicable project or retainer agreement. All work completed and expenses incurred up to the termination date remain billable.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States and the state in which Trees of Integrity operates, without regard to conflict of law principles.
